Introduction

This publication, developed as part of the Promoting Business Ethics in Azerbaijan Project, was prepared by Transparency Azerbaijan with financial support from the U.S. Department of Commerce (USDOC), International Trade Administration, Good Governance Program. The goal of the USDOC’s Good Governance Program is to increase market access and ensure a level playing field for U.S. companies in emerging markets by promoting business ethics, corporate governance, commercial dispute resolution, and respect for intellectual property rights. The authors of this publication, Sanar Mamedov, Vagif Gaziyev and Rena Sararalieva, are graduates of a Good Governance Program training course in the U.S. These program alumni, under the auspices of Transparency Azerbaijan, developed the Promoting Business Ethics in Azerbaijan Project to share their experiences and promote good business practices within the Azerbaijan business community.

Competitive market forces play an increasingly significant role in Azerbaijan. The Azerbaijan business community understands the crucial importance of improving its performance in response to competitive pressures and to incorporate responsible business practices into daily operations. International investors, in particular prominent oil companies, aggressively push Azerbaijan businesses to adopt best practice standards. By adopting very strict standards of ethical behavior, Azerbaijan businesses improve their competitive market position both domestically and abroad.

In order to support progressive, positive change within the Azerbaijan business community, Transparency Azerbaijan developed the Promoting Business Ethics in Azerbaijan Project. This project included the development of targeted educational and training materials for project participants, the public exchange of ideas on the concept of “ethics”, identification of and proposals for overcoming specific local obstacles to the adoption of a business ethics code, development of a draft business ethics code, and assistance in customizing business ethics codes for individual Azerbaijan businesses.

Transparency Azerbaijan’s efforts culminated in the following tangible results:

• Approximately 120 business executives and academics received three rounds of training • Ten pilot companies received an external ethics audit and tailored recommendations for improving their internal ethical standards based on in depth discussions with management and staff questionnaire responses • Preparation of a sample business ethics code which incorporated the views of local and international ethicists for each of the 10 pilot companies • Publication in three languages of 10 codes for ethical business conduct • Business ethics based training for participant company managers and staff

The authors of this publication, together with participants from the Azerbaijan business community, are optimistic that more and more Azerbaijan companies from additional industries will develop their own ethics codes based on the ten model codes provided in this publication. BUSINESS CODE OF CONDUCT

When the audit company AGN MAK Azerbaijan entered the national market for audit and consultancy services, it was confident that it would be successful. Indeed, since the earliest days of its operation, AGN MAK Azerbaijan has worked strenuously to achieve the goals and meet the high standards it set for itself. This hard work clearly paid off when AGN MAK Azerbaijan became the first Azeri audit company to be recognized internationally. Today, AGN MAK Azerbaijan is one of the six international audit and consultancy organizations operating in Azerbaijan and cooperates closely with many well-known foreign and national companies.

Our company owes its success to the joint efforts of AGN MAK Azerbaijan’s experienced employees and experts. Through their loyal adherence to the company’s ethnical values, our employees maintain the highest standards of professionalism.

AGN MAK AZERBAIJAN’S STANDARDS FOR ETHICAL AND PROFESSIONAL AUDIT AND CONSULTANCY SERVICE PROVISION

Professionalism AGN MAK Azerbaijan provides only professional consulting services corresponding to its internal policies, as well as to national and international standards in this sphere.

Objectivity, independence and impartiality When providing consultancy services, AGN MAK Azerbaijan takes care to preserve its impartiality and objectivity, qualities of paramount importance in the spheres of accounting, audit and consultancy in general.

Competence When providing consultancy services, AGN MAK Azerbaijan is committed to achieving the highest standards of professionalism and competence. Thus, our experts take part in professional trainings and courses in order to understand and master the most current working methods.

If AGN MAK Azerbaijan finds it difficult to answer certain complicated questions in the process of providing consultancy services, it appeals to other qualified experts and analysts for their advice. In such cases, AGN MAK Azerbaijan provides its customers with information about those experts in advance.

Honesty AGN MAK Azerbaijan guarantees consultancy services in its area of specialization commensurate with the company’s high level of competence and expertise. AGM MAK Azerbaijan is committed to maintaining a responsible attitude toward the fulfillment of its obligations to clients. All marketing and advertisement materials are vetted to ensure truth in advertising.

Adherence to national and international consultancy standards AGN MAK Azerbaijan operates in accordance with national legislation, particularly that which is relevant to the spheres of audits and consulting. AGN MAK Azerbaijan complies with the Chamber Auditors’ Board of the Republic of Azerbaijan’s requirements for licensed members, as well as with the standards of other international institutions. AGN MAK Azerbaijan is governed by the articles of the Code of Business Conduct for Auditors, approved by Decree No. 88/2 (code AS 1US 051/070-2001) of the Chamber Auditors’ Board Council of the Republic of Azerbaijan on 26 December, 2001.

Respect for the confidentiality of information AGN MAK Azerbaijan protects the personal and confidential information of its customers, partners and employees. AGN MAK Azerbaijan maintains confidentiality when conducting research, audit checks, analyses and business consultations. It does not allow information to be divulged or passed on to third parties, except as required by law.

OUR EMPLOYEES

All of the employees and experts at AGN MAK Azerbaijan are professional individuals with a high level of competence and expertise in the area of audits and consultancy. They carry out their assignments in accordance with the values of professionalism, integrity, experience, sincerity and objectivity. This enables the company to provide quality services and to maintain a good reputation.

AGN MAK Azerbaijan derives its strength from team-oriented staff members who meet their obligations responsibly. Every employee of AGN MAK Azerbaijan should try to cultivate a healthy work atmosphere whilst making his/her contribution to the development of the organization. At the same time, the management team at AGN MAK Azerbaijan is obligated to preempt objectionable situations whenever possible and to build relations with employees that conform to the following principles:

• Every employee is to be respected regardless of his/her position or family relations and is to be valued on the basis of his/her professionalism, including his/her attitude toward work and the treatment of colleagues. • The religious affiliation and national, social and cultural background of each employee is to be respected. Discriminatory treatment on the basis of one or all of these grounds will not be tolerated. • The private and family life of each employee is to be respected. • High levels of professional competency and qualification among our employees are to be maintained through professional development activities such as trainings and seminars. • Safe working conditions are to be maintained for our employees; care is to be taken about their health.

The company appeals to its employees to respect the following rules and principles of behavior embodied in this Code of Conduct:

• The policies and principles of the company are to be adhered to when representing AGN MAK Azerbaijan during business meetings, contract discussions, etc. • Employees must avoid actions that may negatively impact the company or its reputation. Employees and representatives acting on behalf of the company must take care to maintain the good reputation of the company and act in its best interests. When dealing with partners and customers, employees must adhere to high standards of quality consultancy service provision. • Execute commission of the management in a timely and efficient manner. • Employees shall observe and abide by the company’s internal order and procedures.

OUR CuSToMERS

AGN MAK Azerbaijan’s experience has been that clients receiving high quality service provision, professionalism and a policy of fair pricing seek long-term business relationships with our company. Thus, every employee of AGN MAK Azerbaijan is expected to adhere to the following principles when working with our customers:

Gain trust of customers Client trust in our company depends on the quality of services and the objectivity of information that we provide to them.

Treat customers with care AGN MAK Azerbaijan customizes its approach to each customer when providing its consultancy services. This includes tailoring assistance based upon each individual client’s concerns. At the same time, AGN MAK Azerbaijan avoids actions that do not comply with the accepted standards of professional consultancy. Our company never falsifies information, even if providing truthful information might be contrary to the expectations of the customer.

Treat customers fairly, honestly and in a non-discriminatory fashion Regardless of the customer’s social, cultural, national and/or economic background or status, AGN MAK Azerbaijan treats each customer fairly, honestly and in a non-discriminatory manner.

Timely fulfillment of obligations to customers The company respects its contractual obligations to its customers and ensures that its work is of a high quality and is carried out in a timely manner.

Set reasonable prices for products and services AGN MAK Azerbaijan sets its prices according to market variables such as client expectations and relative quality. Before upgrading the spectrum of services and volume of work and raising prices, the company always provides advance notice to its customers.

FAIR COMPETITION IN BUSINESS

AGN MAK Azerbaijan disapproves of unfair competition and avoids behavior and situations that might encourage it. Thus, AGN MAK Azerbaijan adheres to the following principles:

1. Competitors are to be respected and prevailed over through the use of fair means such as offering clients superior quality services and maintaining utmost professionalism. 2. The spreading of groundless rumors about competitors is to be avoided. The intellectual property of competitors is to be respected as confidential information. 3. Illegal actions towards competitors are prohibited. 4. Competitors are to be treated within the limits of law and according to the standards of professional consulting.

PRINCIPLES OF CONDUCTING AND USE OF BUSINESS ACCOUNTING AND FINANCIAL DOCUMENTS

AGN MAK Azerbaijan provides financial reports and conducts annual financial audits designed to reveal the financial state of an organization. The accuracy and reliability of AGN MAK Azerbaijan’s financial reports comply with national and international standards.

CONFLICT OF INTERESTS

Our professionalism and the quality of the consulting services we provide are dependent on our ability to produce independent objective analysis. Conflicts of interest compromise this ability and inevitably lead to a subsequent degradation of service quality. In order to avoid such problems, every employee of the AGN MAK Azerbaijan should treat his/her colleagues and customers objectively and fairly and adhere to professional standards of behavior. AGN MAK Azerbaijan employees should note the following examples, which illustrate potential conflicts of interest. Such actions will not be tolerated by the company.

1. To engage in work outside an employee’s AGN MAK Azerbaijan duties that is incompatible with or may have a deleterious effect on the core values of the consultancy profession (such as fairness, objectivity and independence) or on the reputation of the company.

2. To engage in personal activities outside of work that may compromise one’s objectivity and independence of the provision of consultancy services.

3. To accept or offer illegal payments, expensive gifts and/or bribes to customers, other organizations and any other parties. Such actions will compromise an employee’s objectivity and ability to make objective and independent decisions.

4. To abuse one’s position or the property, equipment, commercial interests and material resources of the company for personal purposes.

5. To simultaneously work for or cooperate with a competing organization.

6. To possess some form of interest, either direct or indirect, in a competing company (e.g. finances, stock shares, etc.).

7. To use confidential information belonging to the company for personal purposes or to transfer such information to third parties.

8. To fail to maintain the internal order and procedures of the company.

9. To be involved in political activity during office hours. AGN MAK Azerbaijan’s participation in political processes is regulated by the country’s legislation and by-laws.

10. To contravene articles of the Labor Code of the Republic of Azerbaijan and other laws.

SOCIAL OBLIGATIONS OF THE COMPANY

AGN MAK Azerbaijan recognizes its obligations to society and contributes to the development of society by means of providing professional consultancy services. AGN MAK Azerbaijan adheres to the following principles of social responsibility:

• The company respects the laws of our country as well as the traditions of our nation and encourages the development of society. • The company contributes to job creation and employment, and supports projects that promote the development of culture, charity and education in Azerbaijan. • When possible, the company provides support to vulnerable groups in society: the elderly, disabled, orphans, refugees and displaced people.

IMPLEMENTATION OF THE CODE

AGN MAK Azerbaijan encourages sincere and friendly relations between employees and contributes to the team spirit of its employees. Each employee is expected to demonstrate his/her commitment to the company by his/her work and by becoming a worthy member of the team. The first step is for every employee, regardless of his/her position or point of view, to read, understand and follow the articles of the Code.

Every employee is free to request explanations and advice from the head of the company when questions arise in connection with the articles of the Code of Conduct. This applies to daily business relations as much as to cases in which complicated ethical questions arise and resolution seems difficult.

Sanctions can be applied by the management of the company to employees who violate the Code of Conduct. Sanctions are determined based on the reasons and conditions of the violation of the Code of Conduct and are applied after discussion with management. Voluntary disclosure of information by the employee and the issue of premeditation will figure prominently into any decisions regarding sanctions.

According to the aforesaid, it may be considered necessary to apply the following sanctions to violators of the articles of the Code:

1. For a first violation of an article of the Code, a verbal warning will be given. 2. For the second violation, written notification will be issued. 3. For the third violation, a fine will be imposed, i.e. a certain amount of money will be deducted from the employee’s salary. 4. For the fourth violation, serious notification will be given for the last time. 5. Dismissal.

CODE OF ETHICS FOR MEDICAL STAFF

OF THE CELAMIG PRIVATE CLINICS

Statement of the clinics’ director

Dear colleagues!

We established the first Azerbaijan eye clinics in 2000 and thus became one of the founders of the private medical sector in our country. Since then we have grown from a small team of several people to a serious clinics, which offers the whole spectrum of ophthalmologic and related services.

We believe that our advantages over our competitors are as follows: extremely high professional level of our doctors, modern medical equipment, a broad spectrum of medical services and acceptable prices. We possess our own set of auxiliary services, such as: laboratory, optics shop, pharmacy, etc. While we attach extreme importance to technical facilities, at the same time, we believe that our main asset is our personnel – ophthalmologists, doctors specializing in other fields, nurses and attendants.

We strive, to the greatest extent possible, to meet requirements of our patients. Professionalism and a high sense of responsibility for the health of our patients form the core of our work. At the same time, the most crucial moral value that guides representatives of our profession and that the management of our clinics’ expects from all our employees is empathy with the patients.

Although our clinics are private commercial enterprises, nevertheless, we do not regard our profession as a regular business, aimed at deriving high revenues and profit. We see our mission as alleviating human suffering at minimum cost. At the same time, we cannot afford to render services free of charge, as any business will not be profitable under such circumstances. Furthermore, we will not be able to offer our high quality services to other patients. Realizing that over 40% of the population in our country lives below the poverty line, we have found an outlet from this predicament by rendering services at the lowest market prices and providing discounts to the most vulnerable layers of the population.

Ethical aspects regulating relations between a doctor and patient are especially important, with specifics of our profession taken into account. It is no coincidence that our profession was the first to devise a prototype of a business ethics code in the form of the Hippocrates Oath. If this Oath puts “do not harm” as the main guiding principle, we pursue a more complicate task that can be formulated as “help”.

To attain this purpose, we need to follow principles of high corporate culture and be guided by norms of medical ethics. We fully realize that provisions of this Code do not cover all aspects of our work, but we all are aware of the importance of moral values and principles, expressed herein, as they assist our employees and management to adopt important decisions, solve problems and settle conflict situations in our routine work.

This Code was designed with participation of all our employees and administration, and is based on their recommendations. This is the first document of its type among all medical establishments in our country. We hope that it will not only assist our employees in building relations with patients, colleagues and all other stakeholders, but also serve as a sample for our other colleagues.

We understand that we deal with one of the most cherished values in the world – an ability to visually perceive the world and we are positive that this Code, to a certain degree, will help us to alleviate suffering of our patients!

We plan to stay in the market, therefore we have designed our strategy with a long term perspective. We see the mission of our clinics as alleviation of the suffering of our patients and strive to establish a “golden standard” in Azerbaijan ophthalmology.



We consider ourselves to be serving the Azerbaijan people and see our main task as providing the population of our country with the modern and high quality ophthalmologic service. To achieve this task, we need to:

• Render high quality ophthalmologic professional services compatible with the global standards; • Master the latest medical techniques; • Purchase the latest medical equipment, materials and medications.

PROVISIONS OF THE CODE

I. Our Relations with Patients

1) Our obligations: We adhere to the following principles in our relations with our patients:

➢ Superb Quality of Service Rendering superb quality ophthalmologic service is our prime responsibility to our patients.

➢ Principles of Humanism and Compassion We assume responsibility in our relations with patients to be governed by the principles of humanism and empathy, which our patients need no less than professional aid.

➢ Patient Trust

We strive to build our relations with patients on the basis of trust, because successful treatment is possible only if a patient trusts his/her doctor completely. We have special knowledge that our patients lack and we bind ourselves not to abuse this knowledge for harmful purposes.

➢ Preservation of Medical Secrets We oblige ourselves to keep confidential all information pertaining the health condition of our patients, provided that no legal infringement is involved, like for, example, when there are grounds to suspect that damage incurred to a patient could have been caused by violence.

➢ Protection of Patients’ Rights We assume responsibility to diligently and reasonably protect the rights of our patients when confronted with outside interests, as for example, when disability due to eye sight is being processed.

➢ Honesty and Truthfulness

We do not give false promises or make promises that we are unable to fulfill. This is especially important in our profession, where many incurable patients hope for miracles that are beyond our ability to perform. However, in conformity with our national culture and traditions, we believe that in the most desperate cases, the bitter truth shall be revealed first to a patient’s family. The family shall then have the option of deciding whether or not the patient should be made aware of his/her genuine diagnosis.



In accordance with our desire to engage in honest and truthful practices, we also warn our patients in advance of any and all changes to our services and prices.



➢ Patient satisfaction We strive to provide services that satisfy our patients to the greatest possible extent. Inevitably, however, the nature of our profession is such that some patient demands will be unrealizable due to unrealistic expectations.

Patience and amicability

We understand that we deal with people who have health problems, who very often are desperate and unhappy with their condition, and who can easily lose their sense of tact and measure. Our high standards and responsibilities as medical practitioners oblige us to demonstrate patience and amicability towards all our patients.

II. Our expectations

We believe that, unlike many other service sectors, patients also have certain obligations to medical practitioners, without which our high quality work may not yield the desired results. We view patient obligations as:



Trusting their doctor;

Following widely accepted practices for registration and internal procedures of the clinics;

Observing recommendations and prescriptions strictly;

➢ Paying for medical services on a timely basis.



To ensure mutual fulfillment of obligations, we strongly recommend that our patients, especially those to undergo surgical treatment, sign a contract with their clinics.

III. Our Relations with Employees

1) Management Obligations to Employees

Our employees are guaranteed the following rights:

• A safe and comfortable working place; • Non-interference into their private lives by the company; • Respect; • On-going professional development.

2) Expectations of Employees by Management:

Conversely, management is entitled to expect its employees will follow certain standards of behavior. As such, the following are inadmissible:

• Sexual harassment; • Discrimination based on ethnicity, political views, social status, sex or age; • Tardiness; • Alcohol consumption during work hours; • Use of drugs or other doping substances; • An untidy appearance; • Tactless attitude towards colleagues and patients.

IV. Our relations with other stakeholders

In our relations with our suppliers we:

• Are guided by the principles of honesty and impartiality; • Follow terms and conditions as contained with our contracts; • Do not disclose confidential and private information.

In our relations with our competitors we:

• Strive to work better than our competitors; • Refrain from speaking badly of them; • Engage only in fair market competition practices.

In our relations with shareholders we:

• Recognize the right of our shareholders to comprehensive information about the clinic’s activities; • Acknowledge our shareholders’ right to earn profits; • Understand that shareholders are entitled to demand implementation of the provisions of this Code and impose relevant sanctions for violation thereof.

In our relations with our partners we:

• Perform all our obligations diligently and timely: • Deal with them honestly, responsibly and professionally.

In our relations with society we:

• Follow the laws, decrees and resolutions of the government; • Create reasonably well paid working places; • Offer discounts, when possible, to vulnerable segments of the population (disabled, senior people, etc).

V. Special provisions



Conflict of interests

We do not permit situations where our employees have personal interests that may contradict the interests of the clinics. We also prohibit use of clinic funds for personal expenses.

➢ Gift giving or taking We do not give or take gifts that may be interpreted by anyone as an attempt to solicit special or unusual benefits.

➢ Confidentiality We protect information that we believe to be confidential, namely: information on the health or condition of our patients. We also hold confidential our company’s financial status, which shall be disclosed only by special permit of the clinics’ management.

➢ Internal records keeping Our clinics accurately keep records of internal operations and patients’ case histories.

➢ Participation in political life The clinics abstain from participation in the political life of the country, do not fund any political parties, nor make their property available for this purpose. However, employees of the clinics may engage in political activities at their own discretion during their spare time.

IMPLEMENTATION OF THE CODE

Every employee of CELAMIG clinics shall familiarize themselves with the provisions of this Code and be guided thereby in their daily work. Provisions of this Code are mandatory for all employees of the clinics. All employees are welcome to request explanations and advice from the management when questions arise in connection with the articles of the Code of Conduct.

Company management may sanction employees who violate the Code of Conduct. Sanctions will be determined and applied after discussion with management. Voluntary disclosure of information by employees and the issue of premeditation will figure prominently into any decisions regarding sanctions.

According to the aforesaid, it may be considered necessary to apply the following sanctions to violators of the articles of the Code:

6. For a first violation of an article of the Code, a verbal warning will be given. 7. For the second violation, written notification will be issued. 8. For the third violation, a fine will be imposed, i.e. a certain amount of money will be deducted from the employee’s salary. 9. 1. Our relations with customers

In our relations with customers we are, first of all, guided by the principle of providing high quality goods and services.

All company employees are responsible for ensuring that our goods and services adhere to high standards of quality in fulfillment of the company’s obligation.

Honest conduct of affairs All transactions and operations of our company shall be based on honesty and be free from falsification. Our company does not make any commitments to its customers that it knowingly will be unable to fulfill. Our customers shall be informed immediately when changes occur that may impact our ability to fulfill our commitments. We are obliged to maintain the highest levels of professionalism and fulfill our commitments conscientiously while rendering services to our customers.

Rights of our customers Our customers are entitled to expect:

• Continual quality improvements to our goods and services; • Non-discrimination (i.e., respect regardless of nationality, religious affiliation, gender, age, political allegiance or sexual orientation); • Timely fulfillment of commitments; • Confidentiality.

2. Our relations with employees

Labor Discipline We consider it inadmissible for our employees to be late for work or breach any other provision of internal discipline.

Abuse of Company Resources Company resources are not to be used or abused for personal purposes under any circumstances.

Adherence to the Rules and Articles of the Code Our commitment as employees is not only to behave honestly and responsibly oursevles, but also to inspire other employees to behave themselves in accordance with the principles contained herein. Disciplinary penalties may be imposed on violators of these principles, up to and including dismissal from the company, at the discretion of the administration.

If we become aware of a violation of ethical standards of behavior, we are obliged to inform our managers and directors. In doing so, we strive to ensure that our stakeholders will maintain their firm belief in the ethical principles of our company’s myriad employees.

Fair Attitude We strive to provide consistently fair treatment of each employee and respect for his or her personality.

Provision of Equal Opportunities for Employees A main component of the company’s policy is to provide equal opportunities for existing employees and support for perspective employees. We believe that the company’s very success depends on the professional and moral of its employees.

Intolerance for Discrimination We select, hire, train and expect professional conduct from our employees, regardless of their nationality, age, gender, political allegiance or sexual orientation.

Sexual Harassment Sexual harassment, a form of personal insult, undermines the integrity of the company, as well as relations between employees. Sexual pursuit is implied as demands of sexual character. In these cases, employees of the company should appeal to the management of the company without delay.

Prohibition against alcohol and drug use at workplace We consider the use or storage of alcohol and drugs in the workplace to be inadmissible. Our employees should immediately inform management about instances of alcohol or drug use; as such cases may damage our common cause and the company’s reputation.

Health and Safety of Company Employees All company work should be carried out in accordance with safety rules and with the personal security of employees in mind. Each employee should be notified about government legislation and company standards that govern these issues.

Right for improvement of professional skills Our employees are empowered to raise their personal and professional capabilities and qualifications through their attendance at various trainings, seminars, conferences and other forums that promote improved skills.

3. Protection of information of the company

We publicize our annual financial report and conduct an annual independent audit of the company’s financial condition.

At the same time, we understand that information is a company asset that requires standards of confidentiality and protection. Leaking confidential information may negatively impact our ability to compete. Therefore, disclosing confidential information without management’s approval is strictly prohibited.

4. Conflicts of Interest

Conflicts of interest arise in cases when company employees allow any external contacts to influence the business decisions they make on behalf of the company. In this respect, we prohibit the following:

• Personal ownership or other “interest” in a any customer, distributor, competitor or supplier; • Reimbursement or other “kick backs” from any customer, distributor, competitor or supplier; • A position of employment, whether formal or informal in any competing company, considering that interests of the company shall prevail over personal interests.

5. Policy of the company with regard to gifts and entertainment

We consider offering gifts or entertainment to partners or accepting gifts or entertainment from partners as inadmissible. If, however, company interests will be served, it is permissible to offer or accept presents of small nominal value such as: ballpoint pens, notebooks, posters, magazines, books, etc. If the matter concerns a bigger gift to an employee of the company, they are obliged to inform management about it.

6. Principles of conducting business accounting and records

The company conducts financial accounting in strict accordance with local and international principles of business accounting.

Taking into account that incomplete and inadequate information may lead to wrong decision-making and negative consequences, we highlight the accuracy of our business accounting and records.

7. Our suppliers

We respect and value our suppliers, as they contribute to the success of our company. In its cooperation with suppliers, the company adheres to the following principles:

• Honesty and fairness towards our suppliers; • Settlement with suppliers on dates and in amounts according to contractual agreements; • Timely payment and nondisclosure of confidential and personal data about our suppliers.

8. Relations with competitors

We strive to engage in fair competition with our competitors and refrain from: • Spreading any kind of detractive or deliberately false information about competitors; • Negotiating or sharing information about prices, pricing policy, sales volumes, advertisement sales, guarantees, dates and/or sales terms; • Forgoing any collusion with competitors about fixed prices or trade restrictions since it free, fair and honest market competition is in the interest of society.

9. Relations with the society

We adhere to all governmental laws, decrees and instructions.

We support projects, when possible, that contribute to the advancement of culture, science, art, public health and other socially significant interests. We also show concern for vulnerable layers of society.

10. Attitude towards political activity

The company refrains from engaging in any political activity and prohibits company resources from being used to support any political parties. At the same time, the management of the company respects the right of the employees to participate in the political life of the country.

11. Protection of the environment

Out of concern for environmental preservation, the company strictly adheres to relevant government decrees and resolutions.

Environment Treatment The company requires that all of its employees strictly obey all government decrees and decisions regarding the protection of the environment.

III. IMPLEMENTATION AND ENFORCEMENT OF THE CODE

Each and every employee of our company shall familiarize himself or herself with the provisions of this Code and be guided by them in his or her daily work. The provisions of this Code are obligatory for all our employees, regardless of their position or personal point of view. We request that all our employees seek clarification from company management in cases when there are any questions with respect to the implementation of the Code’s provisions.

In cases when employees contravene the code because of their negligence, the company encourages employees to voluntarily report their own violations to management.

In cases when an employee witnesses another employee violating the Code’s provisions, the company recommends that the witness encourage the violator to report their contravention to management.

The management is ready at any time to accept reports of violations of the Code’s provisions or to provide elucidation as to the best course of action in difficult or conflicting situations.

In case of violation of the Code’s provisions, the perpetrator will receive a verbal warning, followed by notification in writing for a second delinquency. If delinquencies are repeated, the company reserves the right to impose a penalty up to and including dismissal.

Question: What shall I do if a conversation touches upon our competitors?

Answer: In this case it is advisable to confirm that the particular firm is our competitor and that it is undesirable and unethical for you to comment on it in a malicious or slanderous manner.

Question: What shall an employee do if he or she is harassed by a manager?

Answer: If this fact is confirmed, it shall be discussed confidentially with the top management.

VII. Gifts And Entertainment

We believe it unethical to extend or receive gifts, including entertainment, which can be construed as a bribe in our relations with our customers, suppliers, public officials or other parties. Small gifts, defined as those with an estimated material value less than USD 25 equivalent, are acceptable.

Question: One of our suppliers offers me an expensive gift. If I decline it, I risk offending our suppliers, with whom we have enjoyed many years of cooperation. What shall I do?

Answer: Of course, relations with suppliers shall not be tainted. If an expensive gift is involved, you should notify your supervisor or the company’s management and follow their recommendations.



VIII. Fair Treatment

Our firm shall be free from of any form of discrimination based on: • Age • Sex • Ethnic background • Proprietary status or • Any other factors.

IX. Conflict Of Interest

Conflict of interest occurs in cases when employees:

• Seek personal material benefits in their relations with suppliers, customers, distributors and competitors. • Wish to combine their work in our firm with any action that benefits a competing one.

We do not tolerate any form of conflict of interest. If employees engage in conflicts of interest, the issue first shall be subject to management’s consideration, followed by discussion at the general team meeting.

X. Harassment In The Work Place

We define harassment in the work place as the malicious treatment or intimidation of employees. Harassment is considered offensive to the human dignity of individual employees, as well as to values upheld by this firm as a whole. Harassment in the work place contradicts the laws and ethics of a democratic society. In addition, it contains initiatives of employees.



XI. Attitude To Political Involvement

Our firm is not involved in any political activities.

The firm’s property shall not be used to the advantage of any political parties or political leaders.

At the same time, each employee of our firm is entitled to their Constitutional right to participate in the country’s political life in their off-time.



XII. Confidentiality

Release of confidential information threatens the firm’s well being and ability to compete. On the one hand, we use the secrets of folk art information already in the public domain. We share this information at various academic conferences and seminars on folk art. On the other hand, we have our own production secrets, e.g. dye formulas or copyrighted designs, which constitute our intellectual property and therefore must be protected. Our employees shall be informed as to what information is confidential and must undertake to prevent such information from becoming known outside our company.

XIII. Meticulous Record-Keeping And Accounting

We pay close attention to the management of our financial accounts and bookkeeping. Our business transactions are accurately registered on our books.

The Center of Economic Reforms (CER) has come a long way in its forty years as an economic policy “think tank” in Azerbaijan. 7. Conflict Of Interests

When at work, employees of the Center of Economic Reforms, regardless of their position, will maintain a fair and non-discriminatory attitude in their relations with colleagues, customers and partners. Their actions in the fulfillment of work assignments are to be governed, first and foremost, by the interests of the organization. At the same time, employees of CER should avoid the following actions, as they may lead to a conflict of interests with the management, staff members and other parties involved. :



7.1. To abuse one’s position or property, or the equipment and commercial interests of the organization for personal purposes.

7.2. To simultaneously work or cooperate with a competing organization.

7.3. To possess some kind of interest, either direct or indirect (e.g. finances, stock shares, etc.) in a competing organization.

7.4. To abuse confidential information belonging to the organization by using it for personal purposes or by transferring it to third parties.

7.5. To offer or accept bribes or gifts that can be interpreted as such to or from partners, customers or any other parties involved in the company’s business relations.

7.6. To compromise order and discipline in the organization (e.g. through untidy clothing and appearance, slovenliness, use of alcohol during office hours, use of non-medically prescribed drugs, etc.).

7.7. To be involved in any kind of political activity during office hours. The participation of CER in political processes is regulated by the laws of the Republic of Azerbaijan.

7.8. To contravene articles of the Labor Code of the Republic of Azerbaijan and other laws.





8. Implementation And Enforcement Of The Code

The articles of this Code are obligatory for all employees of the Center of Economic Reforms. The Code of Conduct envisages the use of the following sanctions against violators of its provisions:

1. For the first violation, a verbal warning will be given. 2. For the second violation, written notification will be given. 3. For the third violation, a fine will be imposed, i.e. a certain amount of money will be deducted from the employee’s salary. 4. For the fourth violation, a final notification will be given. 5. Dismissal.

In cases where there are questions related to the provisions of the Code of Conduct, we request that employees seek assistance from the head of their department. At the same time, all employees are requested to inform the head of their department of any unethical behavior in the workplace. In cases when the situation involves the department head or when settlement of the problem is beyond his/her authority, we recommend that employees bring the matter to the attention of the management of CER without any hesitation.

II. Gifts and entertainment

The company believes it admissible to donate gifts or organize entertainment for suppliers at the company’s initiative to a reasonable measure, provided it does not render a negative impact on the company’s business.

In case company’s employees accept gifts or entertainment, management shall be by all means informed thereof.

Gifts and entertainment for public officials can be viewed as unethical. However, the company believes it admissible to donate small presents of insignificant material value: booklets and brochures depicting on company’s activities, pens, etc.

III. Conflict of interest

The company understands conflict of interest as a contradiction between company’s objectives and private objectives of its employees. Therefore, we do not allow cases when:

Our educational institution, established in 1990, was the first private school in Azerbaijan. Then as now, we aspired to build a team of innovative teachers qualified to hold the esteemed title of educator and held in high regard by students.

➢ Be a good mentor: • Encourage students to be truthful, curious, humane, and respectful of their elders; • Foster a sense of civic duty in students; • Encourage students to be active citizens of their country by teaching them their Constitutional rights and obligations, fostering their love for their Motherland and persuading them to report illegal activities to which they are a witness. • Cultivate in youth the ability to develop convincing arguments and fearlessly defend their point of view; • Inculcate students with a respect for the diversity of human values, beliefs and ways of life.

➢ Conscientiousness: • Try to respond to the many questions that are raised by students; • Aim to create a good working atmosphere in the class; • Seek to help all students understand the subject, rather than only focusing on those few who study well; Attempt to develop the individual talents and abilities of every student through attentive care. ➢ Democratic attitudes: • Do not consider one’s own knowledge final; • Listen to the opinions of all students, even those who are lagging behind the others. • Encourage development of original ideas by all students.

➢ Non-discrimination: • Treat all students equally regardless of their origin, ethnicity, religion, party affiliations or those of their parents.

➢ Respect students: • Treat students with respect and develop their sense of dignity; • Teach students to respect the feelings and views of other people; • Strive to persuade students without coercing them.

➢ Instilling moral values in children: • Instill in students senses of altruism, responsibility and integrity.

➢ Innovative approaches: • Always attempt to make each class interesting, even for those students who do not show acute interest in the material; • Learn about new teaching methods on a continuous basis; • Avoid monotony by introducing new techniques and teaching aids; • When possible, make use of interactive teaching methodologies, such as brain storming, open discussions, role-playing, debates, etc.

➢ Decency: • Manifestations of the following behaviors will not be tolerated: rudeness, assault and battery, discrimination, coercion and/or the use of abusive language or threats; • Intoxication of students are indefensible and will result in immediate discharge from the school. • Sexual harassment of students will not be tolerated.

➢ Self-criticism: • In accordance with Socrates’ principle “I know that I know nothing,” teachers should engage in professional development and self- perfection on an on-going basis; • In accordance with the principle of mutual enrichment, teachers should not to be afraid to admit to students that there are some things teachers are not aware of and to learn new information from students, if need be; • Seek answers to disputable questions jointly.

➢ Tidiness: • Always look neat and tidy. We believe that a teacher’s appearance is very important. An untidy-looking teacher cannot command the students’ respect. We agree that professional qualifications are more important, but appearances also matter.

1. B. Our obligations to parents

We are obligated to parents to provide their children with the full scope of knowledge as embodied in the curriculum. We also assume responsibility for providing extra classes to students in cases where the subject is very difficult or students lag behind through no fault of their own.

We commit ourselves to maintain amiable relations with parents aimed at the joint rearing of their children. We will seek ways out of predicaments in the process of teaching and nurturing in concert with parents, should such problems occur.

1. C. Our obligations to society

We familiarize and instill democratic values in children through a number of our courses in the curriculum: History, Man and Society, Literature.

We organize lectures, discussions and debates in order to teach our students to participate in the future democratic processes of our country. Students are taught the principles of rule of law, as well as their rights and their obligations as citizens of a democratic country.

We maintain close contacts with foreign and local non-governmental organizations, including the American Council for Collaboration in Education and Languages (ACCELS). These relationships help us keep pace with democratic changes taking place in our country and learn about positive and progressive experiences in the sphere of education in Azerbaijan and beyond.

2. Relations between teachers



We believe that relations between our teachers shall be based on mutual respect and cooperation. More experienced teachers shall share their skills with their younger colleagues. Relations between teachers shall be impeccable, particularly because they are the focus of the students’ attention.

Teachers shall respect the views/positions of their colleagues, even if such ideas contradict their own views. In cases of conflict, all disputable problems shall be settled in the faculty general meeting where objective approaches to problem resolution will be favored.

We believe it is inadmissible for teachers to speak badly of their colleagues. We aim to protect our teachers from possible cases of slander and libel.

Teachers shall attempt to invite good specialists to work for the school.

3. Confidentiality

We will not tolerate interference with the privacy of our students, the search of their personal belongings or censorship of their personal correspondence as such actions insult the dignity of students and are shameful to the title “teacher.”

4. Relations with other private institutions

We abide by the rules of fair competition in our relationships with other private educational institutions. Our teachers refrain from non- constructive criticism and disinformation with respect to other educational institutions. Whenever possible, we try to arrange joint events (e.g. debates and sports contests) with other educational institutions.

We do not use untruthful information in our advertisements as this would establish unfavorable conditions for fair competition.

5. Environmental policy

Environmental education is one of the most important subjects of our lives. In our classes such as Man and Society, we provide our students with extensive information about the environmental situation in our country. With the help of discussions, debates, and role-playing, we go beyond the simple provision of information. We pledge to familiarize our students with all of our country’s emerging environmental problems. With the help of interactive methodologies, we will encourage students’ search for the best solutions to the many problems in this area. One of the most useful methods here is organization of environmental trips of our teachers and students to the regions of the country.

6. Gifts and entertainment

We believe it is unacceptable for teachers and the administrative staff of our Gymnasium to accept gifts and/or take part in entertainment that could be construed as a bribe. Taking the traditions of the Azeri people into account, flowers and sweets are considered quite acceptable on special occasions. All other gifts shall be surrendered for display at the Gymnasium’s special exhibition.

7. Conflict of interests

We do not allow situations that give rise to a conflict of interest, or the collision of personal and corporate interests.

Conclusion

The Code provisions are applicable to all Gymnasium employees and breach thereof shall result in imposition of administrative penalties.
